Terms of Service

These Terms of Service govern your access to and use of ZimSaaS websites, products, subscriptions, automation systems and related services.

By using our website, purchasing from us, subscribing to a ZimSaaS product, or using a system we provide, you agree to these Terms of Service.

For the purposes of these Terms, “ZimSaaS”, “we”, “us” and “our” refer to ZimSaaS.

2. What ZimSaaS provides

ZimSaaS provides software-enabled automation products and systems for businesses. These may include:

  • Dashboards and reporting systems
  • Business process automation

3. Eligibility

You must be legally able to enter into a contract to use or purchase our services. If you are purchasing on behalf of a business, you confirm that you have authority to bind that business to these Terms.

4. Accounts and access

You may need access to third-party platforms, dashboards, calendars, CRM accounts, messaging tools or other software to use the systems we provide.

You are responsible for:

  • Providing accurate onboarding information
  • Maintaining the security of your accounts
  • Keeping passwords and login details confidential
  • Ensuring only authorised people access your systems
  • Notifying us promptly of any suspected unauthorised access

5. Customer responsibilities

You agree to:

  • Provide accurate business, service, staff and customer information where required
  • Review and approve workflows, messages and booking settings before launch
  • Ensure you have the right to provide us with any data you submit
  • Use the systems lawfully and responsibly
  • Follow applicable data protection, privacy, marketing, messaging and consumer laws
  • Maintain any third-party subscriptions required for your system
  • Respond to reasonable requests for information needed to deliver the service

We are not responsible for delays, errors or failed delivery caused by incomplete, inaccurate or delayed information from you.

6. WhatsApp, SMS, email and messaging compliance

If your system includes WhatsApp, SMS, email or other customer messaging, you are responsible for ensuring that your contacts have given any required consent to receive messages.

You must not use ZimSaaS systems to send unlawful, misleading, abusive, spam, unsolicited or non-compliant communications.

Messaging platforms may apply their own rules, fees, template approval processes, delivery limits and account restrictions. We are not responsible for decisions made by third-party messaging providers.

7. Third-party platforms

ZimSaaS systems may rely on third-party platforms such as CRM tools, booking software, messaging providers, payment processors, hosting providers, analytics tools and integration platforms.

You understand that:

  • Third-party platforms are governed by their own terms and policies
  • Third-party platform pricing may change
  • Third-party platforms may experience downtime, bugs, outages or feature changes
  • Some features may depend on third-party approval or availability
  • We are not responsible for third-party platform failures outside our control

8. Payments

You agree to pay all fees shown at checkout or agreed in writing. Fees may include setup fees, subscription fees, usage fees, third-party charges or custom project fees.

Payments may be processed through third-party payment providers. Those providers may have their own terms, privacy policies, security standards, payment processing rules and refund procedures.

9. Subscriptions and renewals

Subscription services renew automatically unless cancelled before the renewal date. By purchasing a subscription, you authorise recurring billing at the price and interval shown at checkout or agreed in writing.

You may cancel a subscription using the available customer portal, payment provider tools, or by contacting info@ZimSaaS.com.

Cancellation prevents future billing but does not automatically entitle you to a refund for previous payments.

10. Refunds

Refunds are governed by our Refund Policy.

11. Acceptable use

You must not use our website, products, systems or services to:

  • Break the law
  • Send spam or unauthorised marketing
  • Mislead, deceive, harass or abuse others
  • Process data without proper authority or consent
  • Interfere with system security or integrity
  • Attempt to access systems or data without permission
  • Upload malware, malicious code or harmful content
  • Violate third-party platform rules
  • Promote illegal, harmful, discriminatory or abusive activity
  • Use the service in a way that could damage ZimSaaS, our customers, our providers or payment partners

We may suspend or terminate access if we reasonably believe these Terms have been breached.

12. Service availability

We aim to provide reliable systems and support, but we do not guarantee uninterrupted or error-free service.

Service availability may be affected by:

  • Third-party platform downtime
  • Internet or hosting issues
  • Maintenance
  • API changes
  • Messaging provider limits
  • Account restrictions
  • Customer-side configuration issues
  • Events outside our reasonable control

13. Support and maintenance

Support and maintenance are provided according to the plan, proposal or written agreement you purchased.

Unless stated otherwise, support does not include:

  • Major rebuilds
  • New features outside the agreed scope
  • Platform migrations
  • Emergency support outside agreed hours
  • Fixing issues caused by unauthorised changes
  • Work caused by third-party platform changes outside the agreed support scope

14. Intellectual property

ZimSaaS owns or retains rights in its templates, frameworks, processes, know-how, designs, documentation, workflows, code snippets, automation logic and reusable system components, unless agreed otherwise in writing.

You retain ownership of your business data, customer data, brand assets and content provided to us.

After full payment, you receive the agreed rights to use the specific system or deliverables provided to you for your own business purposes, subject to these Terms and any third-party platform terms.

You may not resell, copy, distribute or commercially exploit ZimSaaS systems, templates, workflows or materials unless we agree in writing.

15. Confidentiality

Each party may receive confidential business, technical, customer or operational information from the other. Both parties agree to take reasonable steps to protect confidential information and not disclose it except where needed to provide the service, comply with law, or use approved third-party providers.

16. Data protection

Our handling of personal information is described in our Privacy Policy.

Where we process personal information on your behalf as part of a customer automation system, you are responsible for ensuring that you have a lawful basis to collect and use that information and to instruct us to process it.

17. Results and limitations

ZimSaaS systems are designed to improve business processes, automation, communication and operational efficiency. However, we do not guarantee specific commercial results, revenue increases, lead volumes, appointment volumes, customer reviews, deliverability rates or advertising performance.

Automation systems depend on many factors outside our control, including customer behaviour, third-party platforms, staff usage, data quality, messaging rules and business operations.

18. Disclaimers

Our services are provided on an “as available” and “as configured” basis. We do not warrant that every system will be uninterrupted, error-free or compatible with every third-party platform indefinitely.

We do not provide legal, financial, tax, medical or regulated professional advice.

19. Limitation of liability

To the maximum extent permitted by law, ZimSaaS will not be liable for indirect, incidental, special, consequential or punitive losses, including loss of profit, revenue, data, goodwill or business opportunity.

To the maximum extent permitted by law, our total liability for any claim relating to the services is limited to the amount you paid to ZimSaaS for the relevant service during the three months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

20. Suspension and termination

We may suspend or terminate access to our services if:

  • Payment is overdue
  • You breach these Terms
  • You misuse the service
  • Continued service creates legal, security, reputational or operational risk
  • A required third-party platform suspends or restricts access
  • We are required to do so by law or a payment provider

On termination, access to systems, support or subscriptions may end. We may retain certain information where required for legal, accounting, security or operational purposes.

21. Changes to services or terms

We may update our services, pricing, features or these Terms from time to time. The latest version will be posted on our website. Material changes affecting active customers will be communicated where reasonably practical or legally required.

22. Governing law

These Terms are governed by the laws of Zimbabwe, unless mandatory local law provides otherwise.
